[TWO OR THREE SENTENCES: the situation the Client is in today, why it matters commercially, and what triggered this engagement. Example: "[CLIENT] has grown from [X] to [Y] customers in [PERIOD] but churn has risen to [Z]%. Leadership needs to know which segments are leaving, why, and what to change in the next two quarters."] Engagement summary. [ONE PARAGRAPH: what the Consultant will do about it, at a level a board member could read.] 2. Objectives and success criteria ---------------------------------- The engagement is successful if, by [END DATE], the following are true: # | Objective | How success is measured | Baseline today | Target | Measured by - | ------------- | ----------------------- | -------------- | -------- | -------------------- 1 | [OBJECTIVE 1] | [METRIC] | [BASELINE] | [TARGET] | [WHO / WHICH REPORT] 2 | [OBJECTIVE 2] | [METRIC] | [BASELINE] | [TARGET] | [WHO / WHICH REPORT] 3 | [OBJECTIVE 3] | [METRIC] | [BASELINE] | [TARGET] | [WHO / WHICH REPORT] Outside the scope of this SOW. [OUT-OF-SCOPE ITEM 1 — e.g. implementation of recommendations]; [OUT-OF-SCOPE ITEM 2 — e.g. software development]; [OUT-OF-SCOPE ITEM 3]. Anything not listed in section 3 is out of scope and is handled under section 7. 3. Phases and deliverables -------------------------- Phase 1 — [PHASE NAME, e.g. Discovery and diagnosis] - Window: [START DATE] to [END DATE] - Activities: [ACTIVITY 1, e.g. [8] stakeholder interviews]; [ACTIVITY 2, e.g. analysis of [DATA SET]]; [ACTIVITY 3]. - Deliverables: # | Deliverable | Description (specific enough that a third party could tell it is finished) | Format | Due --- | ------------------ | ---------------------------------------------------------------------------------------------------- | ------------------ | ------ 1.1 | [DELIVERABLE NAME] | [e.g. "Findings deck: [12]-[15] slides covering [X], [Y], [Z], with an appendix of interview notes"] | [PDF / deck / doc] | [DATE] 1.2 | [DELIVERABLE NAME] | [DESCRIPTION] | [FORMAT] | [DATE] - Phase 1 depends on: [DEPENDENCY, e.g. Client provides [DATA SET] by [DATE] and calendar access to [N] interviewees]. Phase 2 — [PHASE NAME, e.g. Strategy and recommendations] - Window: [START DATE] to [END DATE] - Activities: [ACTIVITY 1]; [ACTIVITY 2]; [ACTIVITY 3]. - Deliverables: # | Deliverable | Description | Format | Due --- | ------------------ | ------------- | -------- | ------ 2.1 | [DELIVERABLE NAME] | [DESCRIPTION] | [FORMAT] | [DATE] 2.2 | [DELIVERABLE NAME] | [DESCRIPTION] | [FORMAT] | [DATE] - Phase 2 depends on: written acceptance of Phase 1 under section 4. Phase 3 — [PHASE NAME, e.g. Roadmap and handover] (delete unused phases — 2 to 5 phases is the working range) - Window: [START DATE] to [END DATE] - Activities: [ACTIVITY 1]; [ACTIVITY 2]. - Deliverables: # | Deliverable | Description | Format | Due --- | ------------------ | ------------- | -------- | ------ 3.1 | [DELIVERABLE NAME] | [DESCRIPTION] | [FORMAT] | [DATE] - Phase 3 depends on: [DEPENDENCY]. 4. Acceptance criteria ---------------------- 4.1 Each deliverable is submitted to [CLIENT SPONSOR NAME] by email or through the project workspace, marked "submitted for acceptance". 4.2 A deliverable is accepted when the Client confirms acceptance in writing, or automatically [7] calendar days after submission if the Client has not raised specific written objections. Silence is acceptance — this stops phases from stalling in sign-off limbo. 4.3 Objections must be specific and must reference the description in section 3 (for example, "section 2.1 asked for [X] segments and the deck covers [Y]"). Preference-based feedback is handled as revisions, not rejection. 4.4 The Consultant will correct accepted objections within [5] business days and resubmit. The [7]-day acceptance window restarts on resubmission. 4.5 A phase is complete when all its deliverables are accepted. Payment for that phase becomes due under section 5. 4.6 Deliverable-specific acceptance criteria (optional): Deliverable | Accepted when ----------- | --------------------------------------------------------------------------------------------- [1.1] | [e.g. covers all [N] segments agreed in kickoff and is presented live to the leadership team] [2.1] | [CRITERION] 5. Milestone payment schedule ----------------------------- # | Milestone | Payment trigger | Amount | Invoice date | Due - | ---------------- | ---------------------------------- | ------------------------------------- | ------------ | -------- 1 | Kick-off payment | Signature of this SOW | [CURRENCY] [DEPOSIT] ([30]% of total) | [DATE] | Net [14] 2 | Phase 1 complete | Acceptance of Phase 1 deliverables | [CURRENCY] [AMOUNT] | [DATE] | Net [14] 3 | Phase 2 complete | Acceptance of Phase 2 deliverables | [CURRENCY] [AMOUNT] | [DATE] | Net [14] 4 | Final | Acceptance of final deliverable | [CURRENCY] [AMOUNT] | [DATE] | Net [14] | Total | | [CURRENCY] [TOTAL FEE] | | 5.1 Work begins once the kick-off payment has cleared. 5.2 Overdue invoices carry interest at [1.5]% per month plus a [CURRENCY] [LATE FEE] administrative charge. The Consultant may pause work on invoices more than [15] business days overdue; paused time extends the engagement window. 5.3 Pre-approved expenses (travel, data, tooling) are re-charged at cost. No single expense over [CURRENCY] [THRESHOLD] without written approval. 5.4 Fees exclude [VAT / GST / SALES TAX], added where applicable. 5.5 Time-and-materials engagements only: work is charged at [CURRENCY] [DAY OR HOUR RATE] against an estimate of [N] days, invoiced [MONTHLY / PER PHASE]. The Consultant will flag in writing before exceeding [80]% of the estimate. 6. Roles and responsibilities ----------------------------- Area | Consultant | Client | Named owner --------------------------------- | -------------------------------------------------- | -------------------- | ------------------------- Overall accountability | Delivery of section 3 | Decisions and access | [NAMES] Approvals and acceptance | Submits | Owns | [CLIENT SPONSOR] Data, systems and tool access | Requests | Provides by [DATE] | [CLIENT IT / OPS CONTACT] Stakeholder scheduling | Requests | Books | [CLIENT PM] Internal communication to staff | Supports | Owns | [CLIENT COMMS] Status reporting | Owns — [WEEKLY] written update, [FORTNIGHTLY] call | Attends | [BOTH] Implementation of recommendations | [ ] In scope [ ] Out of scope | — | [NAME] Assumptions. This SOW is priced on the assumption that: [ASSUMPTION 1, e.g. interviewees are available within [10] business days of request]; [ASSUMPTION 2, e.g. data is provided in machine-readable form]; [ASSUMPTION 3]. If an assumption proves untrue, section 7 applies. 7. Change requests ------------------ 7.1 Any change to scope, deliverables, timeline or fee requires a written SOW amendment signed by both Parties. No amendment, no changed work — this protects both the fee and the timeline. 7.2 The Consultant will respond to a change request within [3] business days with the additional scope, additional fee and revised dates. 7.3 Client delay beyond [10] business days, or a dependency in section 3 not being met, is treated as a change request: the Consultant may re-plan dates and re-price the affected phase. Change log # | Date | Change requested | Fee impact | Date impact | Approved by - | ------ | ---------------- | ------------------- | ----------- | ----------- 1 | [DATE] | [DESCRIPTION] | [CURRENCY] [AMOUNT] | [+N days] | [NAME] 8. Confidentiality, IP and termination -------------------------------------- 8.1 Where an MSA or service contract is named on page one, its confidentiality, IP and termination clauses govern this SOW. 8.2 Where this SOW stands alone: each Party keeps the other's confidential information private for [2] years; deliverables transfer to the Client on payment of the final invoice in full, with the Consultant retaining its background methods, models and templates; either Party may terminate on [15] business days' written notice, with the Client paying the kick-off payment plus all work completed to the termination date, pro-rated against the milestones in section 5. 9. Signatures ------------- Consultant | Client --------------------------------------- | --------------------------------------- Signature: ____________________________ | Signature: ____________________________ Name: [YOUR NAME] | Name: [CLIENT SIGNATORY NAME] Title: [YOUR TITLE] | Title: [CLIENT SIGNATORY TITLE] Entity: [YOUR BUSINESS NAME] | Entity: [CLIENT LEGAL ENTITY NAME] Date: [DATE] | Date: [DATE] ------------------------------------------------------------ How to use this template 1. Write section 3 first, then price it. Deliverable descriptions should be specific enough that a third party could tell whether you finished. 2. Keep the automatic-acceptance window in 4.2 — it is the clause that stops phase payments from hanging. 3. Fixed-fee engagements: show milestone amounts only, not your day rate (section 5.5 is for T&M work — delete it otherwise). 4. Re-issue a fresh SOW per phase or per project under the same MSA rather than editing a signed one. 5. Log every change in section 7 as it happens, not at the end.
